Job Description

Vendasta is seeking a General Counsel to work cross-functionally across our growing team and manage Vendasta’s day-to-day and strategic legal needs. Under the direction of the Chief Financial Officer, the General Counsel will work on behalf of various internal and external stakeholders in the areas of intellectual property, corporate, commercial law, and more. The General Counsel will have a unique opportunity to partner with key business stakeholders across a wide range of legal matters crucial to a fast-growing, Software-as-a-Service (SaaS) business. Legal counsel & support

Provide strategic input to the Executive team across a wide range of legal matters that may impact a fast-growing, SaaS business—including data privacy & GDPR, corporate governance, corporate contracts, equity, and emerging industry issues
Offer counsel and provide advice organization-wide on a variety of legal issues—such as regulation & compliance, employment law, equity & options, contract management, and more
Represent the interests of Vendasta as a business and employer in related legal matters; act as the first point of contact for legal matters that may arise from vendors, employees, or customers
Work with the VP of Corporate Development & external legal stakeholders to manage due diligence and facilitate various aspects of prospective mergers & acquisitions, funding, or other transactionary events
Build out the legal function to continue to support & scale Vendasta’s growth and business needs
Contract management

Negotiate and draft various contracts and agreements for suppliers, customers, business partnerships, and etc.
Write and/or revise various commercial agreements, reports, policies, and legal documents
Engage in negotiations and contract reviews with customers, vendors, and other stakeholders of Vendasta, balancing the technical, business, and legal needs of the organization
Manage and maintain all corporate and contractual files, corporate shareholdings, and stock options
Compliance & mitigation

Evaluate prospective risks and make appropriate recommendations in connection to legal matters such as intellectual property, compliance (GDPR), corporate responsibility, strategic legal issues, and obligations negotiated with customers and suppliers
Play an active role in corporate governance including timely corporate filings, administration of AGM, and maintaining up to date corporate records (i.e. minutes and resolutions)
Manage relations between external parties, such as external legal stakeholders and regulators, to effectively handle compliance and audit requests
Create and/or revise organizational legal documentation—such as agreements, forms, policies, and guidelines
Actively seek out and serve as the expert on relevant changes to laws and regulations that may impact the organization

Skills & Qualifications

Bachelor of Laws (LLB) or Juris Doctor degree (JD)
Active member of the Law Society of Saskatchewan (or equivalent jurisdiction)
5+ years of relevant experience (post-admission to the bar) in a law firm or as an in-house counsel; experience in technology or SaaS considered a strong asset
Experience working in global privacy laws and data protection requirements (GDPR)
Experience in mergers & acquisitions and other transactionary events
Ability to work on a broad range of legal topics on a global basis, manage multiple priorities, and adapt to changing business needs; a self-starter with exceptional initiative and business acumen
Superior analytical, problem-solving, strong negotiation, and conflict resolution skills, particularly in legal and financial/commercial issues
Ability to work both independently and collaboratively, while effectively prioritizing business needs in a fast-paced working environment
Excellent written and verbal communication as well as superior interpersonal and presentation skills
Ability to build effective working relationships with a dynamic, professional team and ability to communicate effectively with all levels of the organization

Revenue Operations Coordinator

We are seeking a Revenue Operations Coordinator to help take the ever-growing Channel Partner Division to the next level!

  • Provide accurate and timely administrative assistance to our Channel Partner leadership team
  • Manage day-to-day operations for the Channel Partner Division leadership team; ensure the leadership team is supported and running smoothly, from preparing agendas & assigning action items
  • Provide administrative support to other departments or projects as needed.
  • Track and manage our sales tech stack, including tracking of contracts, usage policies and user seats.
  • Coordinate cross-divisionally with People Ops and Facilities to ensure compliance to corporate policies
  • Own the tracking of Employee movement policies and procedures for the Division to ensure software, training, accounts, and administrative tasks are handled in a timely and accurate manner
  • Organizing events, scheduling meetings, and making travel arrangements.
  • Prepare and facilitate our sales contract processes using our Platform, including custom deals, amendments, and partner agreements. They will be the key administrator on all tasks related to outgoing contracts and amendments. You will also work closely with our Finance team on the processes related to incoming contracts and Amendments
  • Ensure that employees are knowledgeable of and comply with company policies, procedures and practices related to contracts
  • Manage relevant partner and team feedback to identify potential improvements for our contract fulfillment processes; work closely with other Revenue Operations positions across company to implement changes
  • Other administrative tasks as necessary

Skills & Requirements

  • Bachelor’s degree in Business or a related field; or equivalent experience would be considered an asset
  • Excellent organizational skills, with an ability to prioritize important projects in an ever-changing environment
  • Proven ability to effectively use computer programs, including Google Docs, Sheets, Slides, and Forms
  • Capable of working independently on a broad variety of tasks and projects, while exercising effective judgment, sensitivity, and creativity to changing needs and situations
  • Exceptional standards of professional integrity, customer ethic and proficiency in all aspects of administrative activity
  • Demonstrated ability to work effectively with confidential and sensitive information is essential
  • Effective and exemplary interpersonal and communication skills (both oral and written)
